Introduction and Scope of Terms
These Terms of Service (“Terms”) govern your access to and use of the services provided by OpenLedger Foundation, a foundation company incorporated in the Cayman Islands, and its affiliated entities (collectively, “OpenLedger,” “we,” “us,” or “our”).
These Terms apply to your use of:
- the website located at openledgerfoundation.com and any associated subdomains (the “Website”);
- any mobile or desktop applications operated by OpenLedger; and
- any tools, smart contracts, APIs, protocol interfaces, AI-powered services, or decentralized infrastructure layers (the “Platform”) made available by OpenLedger.
OpenLedger operates as a decentralized infrastructure platform integrating blockchain technology, artificial intelligence, and tokenized ecosystems. These Terms apply to your interaction with the Website and Platform, whether as a registered user, a wallet-connected user, or as a passive visitor.
By accessing or using the Platform, you agree to be bound by these Terms and any future modifications. If you do not agree, you may not use the Services.

By clicking “I accept,” or by downloading, installing, or otherwise accessing or using the service, you agree that you have read and understood, and, as a condition to your use of the service, you agree to be bound by the following terms and conditions, including OpenLedger’s Privacy Policy (together, these “Terms”). If you are not eligible, or do not agree to the Terms, then you do not have our permission to use the service. Your use of the service, and provision of the service to you, constitutes an agreement by OpenLedger and by you to be bound by these Terms.
ARBITRATION NOTICE. Except for certain types of disputes described in Section 7 (Dispute Resolution and Arbitration), any disputes arising under these Terms will be resolved through binding, individual arbitration.
BY ACCEPTING THESE TERMS, YOU AND OPENLEDGER WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE PROCEEDINGS. YOU MAY OPT OUT OF THIS ARBITRATION AGREEMENT BY FOLLOWING THE INSTRUCTIONS SET OUT IN SECTION 7.
1. User Eligibility
You must be at least 18 years old and not be a Prohibited Person to use the Services. By using the Services, you represent and warrant that you are eligible, have not been previously suspended or removed from the Services, and that your use complies with all applicable laws and regulations. A “Prohibited Person” includes any individual or entity that is subject to trade or economic sanctions by any governmental authority (such as the EU, UK, or U.S., including the SDN list or OFSI), located in or a resident of a sanctioned country or territory, or owned or controlled by such persons. If you are using the Services on behalf of a company or organization, you represent that you are authorized to accept these Terms on its behalf and bind it to them.
Eligibility and Legal Capacity
By using the Services, you represent and warrant that:
- You are at least 18 years of age (or the age of majority in your jurisdiction);
- You are legally competent to enter into binding contracts under applicable law;
- You are not a resident, citizen, or entity organized in a country or territory that is subject to comprehensive sanctions or embargoes issued by the United Nations, European Union, United States, United Kingdom, or other applicable sanctions authorities (a “Restricted Jurisdiction”);
- You are not listed on any sanctions-related lists maintained by the United States Office of Foreign Assets Control (OFAC), the UK Office of Financial Sanctions Implementation (OFSI), the EU, or any other governmental authority (e.g., the SDN List);
- You are not using the Services for any purpose that violates applicable law, including sanctions, export control regulations, anti-money laundering (AML), or anti-terrorism financing laws.
OpenLedger may restrict or terminate your access if it reasonably believes that you have misrepresented your eligibility or violated applicable laws. If you are accessing the Services on behalf of a legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and that such entity is duly formed, in good standing, and not a prohibited person or entity under applicable law.
Account Creation and Responsibility
Access to certain features of the Platform may require you to:
- Create an account by providing registration data such as email, name, or identifiers (“Account”), or
- Connect a supported blockchain wallet address (e.g., MetaMask, WalletConnect).
You agree to:
- Provide accurate, current, and complete information during registration or wallet connection;
- Update such information as needed to maintain its accuracy;
- Keep any credentials or wallet access secure;
- Accept full responsibility for all activity occurring under your Account or wallet.
If you lose access to your wallet (e.g., lost private key or seed phrase), OpenLedger has no obligation to restore access or recover assets. We strongly advise implementing appropriate contingency planning (e.g., backup wallets or deadman switches). OpenLedger will not be liable for losses resulting from unauthorized access, phishing, wallet compromise, or failure to secure your Account or credentials. We reserve the right to suspend or terminate your access if we reasonably believe your account is compromised, fraudulent, or in breach of these Terms.
Wallet Integration and Responsibility
Access to core functionality of the OpenLedger Platform may require you to connect a compatible, non-custodial blockchain wallet (a “Wallet”). By doing so, you acknowledge and accept the following:
- Your Wallet is provided by a third party and governed by its own terms and policies. OpenLedger neither operates nor controls your Wallet.
- You are solely responsible for safeguarding your private key, recovery phrase, and any credentials associated with your Wallet.
- You assume all risks associated with unauthorized access, loss of control, theft, or mismanagement of your Wallet credentials.
- You must ensure your device and software environment are secure and up to date before interacting with the Platform.
OpenLedger does not have access to your Wallet and cannot assist in recovering lost credentials, reversing transactions, or restoring access to digital assets.
By connecting a Wallet, you agree to:
- Authorize smart contract interactions and digital asset transactions through signature approvals;
- Assume full responsibility for the outcome of any transactions you initiate;
- Understand that blockchain transactions are irreversible and may be affected by network conditions, congestion, or malicious actors (e.g., MEV or frontrunning bots).
You are also responsible for making appropriate arrangements in the event of your incapacity or death (e.g., key recovery, estate access). OpenLedger disclaims liability for loss of access due to such events.
5. Right to Use the Service
Subject to your compliance with these Terms, OpenLedger grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or internal business use. This includes access to documentation, research, and other informational materials, all of which are provided “as is” without warranties of accuracy or completeness. Some components you interact with, such as third-party protocols, smart contracts, models, or open-source tools, are governed by their own terms, and OpenLedger does not control or assume responsibility for them. You agree not to misuse the Services, including by copying, modifying, distributing, reverse engineering, scraping, introducing harmful code, interfering with security or operation, or violating any laws or third-party rights. You are also responsible for your interactions with other users and agree that OpenLedger is not liable for any disputes or issues arising from such interactions. Any unauthorized use of the Services will result in the termination of your rights under these Terms.
Limited License and Acceptable Use
Subject to your full compliance with these Terms, OpenLedger grants you a non-exclusive, non-transferable, revocable, and limited license to access and use the Services and Platform solely for your personal use or internal business purposes. This license does not grant you the right to:
- Reproduce, copy, or distribute any part of the Services or Platform, including any code, documentation, user interface, or models;
- Reverse engineer, decompile, disassemble, modify, or create derivative works from any part of the Platform;
- Access or use any portion of the Platform in a manner that interferes with, disrupts, or circumvents security mechanisms, throttling, or geoblocking measures;
- Deploy or interact with unauthorized smart contracts, automated bots, or unapproved integrations that may harm the network or other users;
- Scrape, extract, or harvest data for commercial purposes without our prior written consent.
Use of the Platform may involve interactions with decentralized infrastructure (e.g., L2 protocols, relayers, compute layers, oracles), and OpenLedger does not guarantee availability, uptime, or accuracy of such third-party services. OpenLedger reserves the right to revoke your access or suspend your account in the event of suspected abuse, technical harm, legal non-compliance, or if we believe your continued use may present reputational, operational, or regulatory risk.
6. Content Ownership and Rights
All content, materials, and features of the Services, including their design, layout, text, graphics, logos, software, and other elements are owned by OpenLedger or its licensors and are protected by intellectual property laws. You agree not to take any action inconsistent with those ownership rights. Except as expressly authorized by OpenLedger, no part of the Services or materials may be copied, modified, reproduced, distributed, publicly displayed, performed, or used to create derivative works.
Subject to your ongoing compliance with these Terms, OpenLedger grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your personal, non-commercial use. This includes, where applicable, the right to install and use one copy of any mobile or downloadable application provided by OpenLedger on a device that you own or control.
Except where prohibited by law, you may not:
- Modify, reverse engineer, decompile, or disassemble any part of the Services;
- Interfere with or circumvent any security or access control features;
- Use the Services in any manner that infringes the rights of others or violates any applicable law.
All rights not expressly granted to you under these Terms are reserved by OpenLedger. Nothing in these Terms grants you any implied rights.
By submitting feedback, suggestions, or bug reports (“Feedback”), you acknowledge and agree that all rights to such Feedback belong solely to OpenLedger, and you assign any rights you may have to us, without expectation of compensation. OpenLedger may use such Feedback to improve its Services or develop new offerings, with no obligation to provide attribution or seek additional approval.
If you upload or submit any content in connection with your use of the Services (“Your Content”), you grant OpenLedger a worldwide, royalty-free, irrevocable, transferable, sub-licensable license to use, reproduce, display, modify (for technical reasons), distribute, and make it available to others as necessary to operate and improve the Services, unless you have marked it private. You are solely responsible for ensuring that Your Content does not infringe any third-party rights and that you have all necessary permissions to share it. OpenLedger reserves the right to remove or restrict access to any content at its sole discretion.
If you believe that any material on the Services infringes your copyright or other rights, you may notify us with the required information so we can investigate and take appropriate action, including disabling or terminating repeat infringers.
Intellectual Property and User Content
Platform Ownership
The Platform, including but not limited to its interface, source code, smart contracts, models, documentation, trademarks, and all other associated materials (“Platform Materials”) are the intellectual property of OpenLedger or its licensors and are protected by applicable copyright, trademark, and other proprietary rights. Except as expressly provided herein, no part of the Platform or Services may be copied, modified, reverse engineered, reproduced, republished, or distributed, in whole or in part, without OpenLedger’s prior written consent. All rights not expressly granted are reserved.
User Content and Feedback
You may submit or generate content while using the Platform, including transaction metadata, uploaded materials, feedback, or suggestions (“User Content”). By submitting such content:
- You represent and warrant that you own or have all necessary rights to share it;
- You grant OpenLedger a worldwide, royalty-free, irrevocable, perpetual, sublicensable license to use, publish, display, modify (for formatting/technical reasons), distribute, and make such content available to others, including across decentralized environments;
- You waive any moral rights or attribution claims where legally permissible.
If you submit any feedback, bug reports, or feature suggestions, you agree that such input becomes the sole property of OpenLedger, and we may use it without restriction, attribution, or compensation.
AI-Generated or Protocol-Based Content
If any output is generated via AI models, decentralized protocols, or third-party integrations, such content may be:
- Subject to third-party licensing rules or open-source frameworks;
- Non-exclusive and not legally attributable to any single author;
- Subject to error, bias, or hallucination risks. OpenLedger disclaims ownership or responsibility for the accuracy, legality, or reliability of such generated content unless expressly stated otherwise.
Payments, Fees, and Digital Asset Transactions
Certain features of the Platform may require payment of fees, either in fiat currency or digital assets. By using such features, you agree to the following terms:
General Terms
- All fees are denominated in [US Dollars or specified crypto tokens], unless stated otherwise;
- Fees are non-refundable, unless otherwise required by law or explicitly stated in writing;
- Fees and payment structures may change from time to time at OpenLedger’s discretion. Reasonable effort will be made to communicate material changes.
Smart Contract & On-Chain Transactions
- You acknowledge that you are solely responsible for ensuring transaction accuracy and sufficient funds (including gas fees);
- OpenLedger is not responsible for failed, delayed, or reverted transactions caused by network congestion, incorrect parameters, slippage, or contract bugs;
- Transaction finality is determined by the underlying blockchain network and may not be reversible.
Taxes
You are solely responsible for determining and fulfilling your tax obligations arising from use of the Platform, including with respect to income, gains, reporting, and withholding. OpenLedger does not provide tax advice and does not withhold or remit taxes on your behalf.
Promotions and Discounts
From time to time, OpenLedger may offer time-limited promotions, fee waivers, or discounts. These are discretionary, non-binding, and may be modified or revoked without notice.
8. Disclaimers, Limitation of Liability, and Risk Acknowledgement
OpenLedger provides the Services on an “as is” and “as available” basis, without warranties of any kind. To the fullest extent permitted by law, we disclaim all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, or reliability, availability, and security of the Services or any third-party tools or protocols you interact with.
You understand that using blockchain systems and digital assets involves inherent risks, including asset volatility, loss of private keys, smart contract bugs, regulatory uncertainty, and irreversible transactions. You assume full responsibility for these risks and for any decisions made using the Services. Nothing provided constitutes legal, financial, or professional advice.
To the maximum extent allowed by law, OpenLedger and its affiliates will not be liable for any indirect, incidental, special, or consequential damages, including loss of data, profits, or digital assets—arising from your use of the Services. If we are found liable despite these limitations, our total liability will not exceed the greater of $100 USD or the total amount you paid to use the Services in the six (6) months before the claim.
Disclaimers and Risk Acknowledgement
- Merchantability, fitness for a particular purpose, title, non-infringement;
- Reliability, availability, accuracy, or completeness of any content or tools provided through the Platform;
- Safety, performance, legality, or fitness of any smart contract, protocol, AI output, or third-party system integrated with the Platform.
Blockchain and Web3-Specific Risks
- Loss of access to digital assets due to lost private keys, compromised seed phrases, or misconfigured wallets;
- Smart contract bugs, protocol-level exploits, and irreversible transactions;
- Front-running, MEV (miner/maximal extractable value), sandwich attacks, and oracle manipulation;
- Forks, governance disputes, and changes to Layer 1 or Layer 2 networks;
- Exposure to unauthorized or malicious third-party dApps, relayers, or token contracts.
AI-Generated Outputs and Model Behavior
- You understand and accept that AI-generated outputs may be probabilistic, inconsistent, or incorrect;
- Such outputs are not professional, legal, or financial advice and should not be relied upon as such;
- OpenLedger does not guarantee that AI interactions will be explainable, interpretable, or free from hallucinations, bias, or ethical inconsistencies.
Regulatory Uncertainty
- Acknowledge the possibility that certain features or tokens may be reclassified under future laws (e.g., as securities, VASPs, AI systems subject to audit or licensing);
- Assume any and all risks associated with jurisdictional changes, enforcement actions, or legislative amendments that may affect your use of the Platform;
- Agree that OpenLedger does not guarantee legal compatibility with any specific jurisdiction.
Limitation of Liability
If, despite the above, OpenLedger is found liable, its total cumulative liability to you shall not exceed the greater of: (a) One hundred US dollars (USD $100); or (b) The total amount you paid, if any, to access paid Services in the six (6) months preceding the claim. Some jurisdictions do not allow limitations on certain types of liability, so parts of this clause may not apply to you. In such cases, liability will be limited to the fullest extent permissible by local law.
Indemnification and Third-Party Interactions
Your Responsibility
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless OpenLedger, its affiliates, directors, officers, employees, contractors, and agents from and against any and all claims, losses, liabilities, damages, judgments, penalties, costs, and expenses (including reasonable legal and professional fees) arising from or related to:
- Your violation of these Terms or any applicable laws or regulations;
- Your infringement or misappropriation of any third party’s intellectual property, privacy, or other rights;
- Your misuse, abuse, or unauthorized use of the Platform or any integrated protocol;
- Your interactions with third-party wallets, dApps, AI tools, smart contracts, or blockchain services connected through the Platform;
- Any content or data submitted or transmitted by you, including through blockchain transactions, uploads, or API interactions.
OpenLedger reserves the right to assume the exclusive defense and control of any matter subject to indemnification and, in such case, you agree to cooperate fully with our defense.
Interactions with Third-Party Services
The Platform may integrate with or rely upon third-party services, including but not limited to:
- Blockchain networks, oracles, storage layers, or relayers;
- Wallet providers, bridge protocols, or liquidity pools;
- AI model providers, compute layer operators, or API endpoints;
- Open-source modules or user-deployed smart contracts.
You acknowledge and agree that these third-party services are not owned or controlled by OpenLedger; your use of such services is subject to their own terms and privacy policies, which you should review independently; OpenLedger is not liable for any acts, omissions, availability, performance, or content of such services; you use these integrations at your own risk, and OpenLedger is not responsible for any loss, damage, or liability arising from such interactions. OpenLedger makes no warranties or representations regarding the security, audit status, compliance, or trustworthiness of any third-party smart contracts, bridges, tools, or networks you choose to interact with via the Platform.
Prohibited Conduct
- Violates Laws or Rights
- Breaches any applicable local, national, or international laws or regulations, including those relating to sanctions, export control, anti-money laundering (AML), or data protection;
- Infringes upon the intellectual property, privacy, or other legal rights of third parties;
- Compromises Security or Functionality
- Introduces any viruses, malware, exploits, or malicious code into the Platform or any connected protocol;
- Attempts to gain unauthorized access to any part of the Platform, accounts, networks, or systems through hacking, phishing, or other means;
- Bypasses or circumvents technical controls, geo-blocking restrictions, or usage throttles;
- Interferes with the operation of smart contracts, or disrupts any validator, node, or protocol functionality;
- Abuses Decentralized Infrastructure
- Deploys or interacts with unauthorized or malicious smart contracts, bots, or automation scripts;
- Engages in Sybil attacks, flash loan exploits, oracle manipulation, frontrunning, or similar exploitative behaviors;
- Floods the Platform or any integrated network with spam transactions, excessive API requests, or meaningless computational loads;
- Misrepresents Identity or Intent
- Misrepresents your identity or affiliation when accessing or interacting with the Platform;
- Uses the Services to facilitate or conceal fraud, illicit finance, market manipulation, or otherwise unlawful activities;
OpenLedger reserves the right to monitor, investigate, and take appropriate enforcement actions — including suspending or restricting your access — if you are suspected of engaging in any of the above activities, or if your conduct poses legal, reputational, or operational risk to the Platform.
Protocol Dependencies and Third-Party Infrastructure
OpenLedger is built upon a modular architecture that integrates and depends on a range of decentralized and third-party infrastructure providers. These may include:
- Layer 1 and Layer 2 blockchain networks (e.g., Ethereum, Arbitrum, Polygon);
- Smart contract ecosystems and liquidity protocols;
- Data storage providers (e.g., IPFS, Filecoin);
- Decentralized compute and oracle services;
- Wallet and bridging infrastructure;
- External APIs and AI model endpoints.
You acknowledge and agree that these systems are not controlled or operated by OpenLedger; they may be governed by their own codebases, governance models, and upgrade paths; they are subject to potential downtime, performance degradation, forks, governance changes, or security vulnerabilities; and interactions with such protocols carry technical, financial, and regulatory risk that is outside OpenLedger’s control. OpenLedger does not guarantee the uptime, compatibility, or future availability of any integrated protocol or component. We reserve the right to modify or suspend support for any protocol at our sole discretion, and we will not be liable for any disruptions or losses arising from such dependencies.
12. Dispute Resolution, Arbitration, and Class Action Waiver
12.1. Informal Resolution First
Before initiating formal proceedings, you and OpenLedger agree to first attempt to resolve any dispute in good faith. A written notice must be sent to the other party, and both sides will have 30 days to engage in informal resolution efforts.
12.2. Binding Arbitration
Except as outlined in Section 7.4 (Exceptions), all disputes, claims, or controversies arising out of or relating to these Terms, OpenLedger’s services, or use of the protocol will be resolved by final and binding arbitration. This includes any dispute over the scope, enforceability, or applicability of this arbitration clause. Arbitration will be conducted in English, administered by openledger under its applicable rules, and handled by a single arbitrator.
12.3. No Class Actions
You and OpenLedger agree that all proceedings will be conducted on an individual basis. You waive any right to bring or participate in a class, consolidated, mass, or representative action or arbitration. The arbitrator may not consolidate claims or preside over any form of a class or representative proceeding.
13.4. Exceptions
- Individual claims in small claims court
- Claims seeking only injunctive or equitable relief
- Intellectual property disputes
- Enforcement actions by government or regulatory agencies
13.5. Batch Arbitration (If Applicable)
If 100 or more similar claims are filed against OpenLedger within a 30-day period by or with the assistance of the same legal counsel, such claims may be grouped into batches of up to 100 and resolved through a streamlined Batch Arbitration process, with one arbitrator per batch. This is an administrative mechanism only and does not constitute class arbitration.
13.6. Costs
Arbitration fees and expenses will be governed by the rules of the selected arbitration provider. If arbitration would be unreasonably expensive for you compared to court proceedings, OpenLedger will pay the difference as determined by the arbitrator. If the arbitrator finds your claim frivolous or brought in bad faith, fees may be reassigned per applicable rules.
13.7. Opt-Out
You may opt out of this arbitration agreement by sending a written notice to Support@openledger.xyz within 30 days of first agreeing to these Terms. Your notice must include your full legal name, wallet address, and a clear statement of your intent to opt out. If you opt out, OpenLedger will not be bound by this arbitration agreement with respect to your account.
13.8. Severability and Enforceability
If any part of this arbitration clause, including the class action waiver, is found to be invalid or unenforceable, then the entirety of this arbitration agreement will be null and void as to that dispute. In such cases, the dispute will be resolved in a court of proper jurisdiction pursuant to the governing law clause in Section [x.x].
Regulatory Compliance Clause
Regulatory Compliance
OpenLedger operates in a rapidly evolving global regulatory environment. While the Platform is designed to be permissionless and decentralized, certain activities may fall within the scope of local or international legal frameworks, including but not limited to:
- Financial regulations (e.g., securities, commodity, payments, or lending laws);
- Virtual Asset Service Provider (VASP) regimes under FATF, EU AMLD, or other regional frameworks;
- AI governance laws and model transparency standards (e.g., EU AI Act);
- Data protection laws (e.g., GDPR, CCPA);
- Sanctions regimes and export controls (e.g., OFAC, OFSI, EU blacklists).
You are solely responsible for ensuring that your use of the Platform is compliant with all applicable laws in your jurisdiction. OpenLedger does not offer any guarantee or assurance that use of the Platform or participation in the ecosystem will be lawful or permitted in your region. OpenLedger reserves the right to restrict or disable access to certain jurisdictions or user profiles if required to comply with legal obligations, sanctions, or regulatory directives.
Token Disclaimer Clause
Token Classification and Risk Disclaimer
Any tokens, cryptographic assets, or digital representations of value that may be accessible or referenced through the Platform (collectively, “Tokens”) are provided solely for utility, governance, or access-related purposes within the OpenLedger ecosystem.
OpenLedger does not represent or warrant that any Token:
- Has intrinsic or monetary value;
- Is a financial instrument, security, commodity, or investment product;
- Will retain its functionality or be transferable beyond the Platform;
- Is compliant with securities laws in any jurisdiction.
You acknowledge and agree that:
- Token values may be volatile, and you may lose access or all value due to smart contract bugs, regulatory enforcement, or market conditions;
- Holding or using a Token does not entitle you to profits, dividends, or ownership rights in OpenLedger;
- You are not relying on OpenLedger or its affiliates for financial, legal, or tax advice regarding the use, purchase, or sale of any Token.
AI System Use Clause
AI-Generated Output and System Usage
The Platform may include services or interfaces powered by artificial intelligence or machine learning models (“AI Systems”). These may include generative tools, search, recommendation systems, or autonomous agents.
You understand and agree that:
- Outputs generated by AI Systems may be inaccurate, incomplete, misleading, or biased;
- Such outputs are generated autonomously and are not reviewed or verified by OpenLedger prior to delivery;
- You use AI-generated content at your own risk and should not treat it as financial, legal, scientific, or professional advice;
- OpenLedger disclaims any liability arising from actions taken based on AI outputs, including hallucinations, errors, or offensive content.
OpenLedger reserves the right to monitor or modify AI functionality to comply with evolving ethical, technical, or regulatory standards, but offers no warranty of fitness, interpretability, or explainability.
DAO Participation
DAO Governance and Community Participation
Certain components of the Platform may be governed by a decentralized autonomous organization or collective voting framework (a “DAO”). If you choose to participate in DAO-related activities, such as governance proposals, token-based voting, or community forums, you do so voluntarily and at your own discretion.
Participation in the DAO:
- Does not create any partnership, joint venture, fiduciary, or employment relationship between you and OpenLedger;
- Is subject to the DAO’s own procedures, smart contracts, and consensus mechanisms, which may be unpredictable or manipulated;
- May carry legal or tax consequences in your jurisdiction, especially if governance participation is deemed to create legal rights or obligations.
OpenLedger is not responsible for the outcomes of DAO decisions or the enforcement of DAO governance actions. The DAO does not represent OpenLedger unless expressly stated in a legally binding document.
Jurisdictional Carve-Outs
Geographic Limitations and Local Law Disclosures
Due to regulatory restrictions, OpenLedger may block or restrict access to the Platform from certain countries or regions (“Restricted Territories”), which may include:
- Countries subject to comprehensive trade or financial sanctions;
- Jurisdictions where the provision of certain features or tokens may violate local laws.
You agree not to access or use the Platform from any Restricted Territory, and not to facilitate access for individuals or entities located in such regions. If you are located in a jurisdiction where the use of decentralized platforms is restricted, regulated, or subject to licensing, you represent that you are accessing the Services in full compliance with your local laws and at your own legal risk.
Termination Procedure for Wallet-Based Access
Termination, Suspension, and Wallet Access Limitations.
The Platform may rely on wallet-based authentication (e.g., through signature requests) rather than username/password credentials. Because of this:
- You are solely responsible for maintaining access to your blockchain wallet;
- Loss of access (e.g., private key loss, compromised wallet, or smart contract failure) may result in permanent loss of access to Platform features, Tokens, or data;
- OpenLedger does not have the ability to recover lost keys or reverse on-chain actions.
OpenLedger may suspend or terminate your ability to interact with the Platform — including via wallet signature — if:
- You violate these Terms, local law, or applicable regulations;
- Your wallet is involved in suspicious, high-risk, or prohibited activities;
- Continued access poses security, legal, or reputational risks to the Platform.
Upon termination, OpenLedger may:
- Revoke your access rights to any front-end features or APIs;
- Disable interactions between your wallet and certain smart contracts it controls;
- Retain anonymized metadata or transaction history where required by law.
You agree that termination of access does not entitle you to any compensation, and that blockchain-based access systems inherently limit OpenLedger’s ability to manage or “delete” user accounts in a conventional sense.
14. Miscellaneous
14.1 Entire Agreement
These Terms, including our Privacy Policy and any additional terms or policies explicitly referenced herein, constitute the entire agreement between you and openledger regarding the Services. They supersede all prior agreements, communications, or understandings, whether oral or written.
14.2 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. openledger may assign these Terms, in whole or in part, at any time without notice or your consent.
14.3 Waiver and Severability
Any failure by openledger to enforce any provision of these Terms is not a waiver of our right to do so later. If any part of these Terms is found to be unlawful or unenforceable, the remaining provisions will remain in full force and effect.
14.4 Changes to Terms
We may update these Terms from time to time. If we make material changes, we will use reasonable efforts to notify you—such as by posting a notice on the site or emailing you at your registered address. Unless otherwise stated, changes become effective upon posting. Continued use of the Services after changes take effect constitutes acceptance. No change will apply retroactively to disputes already initiated.
14.5 Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms or applicable laws, or if we believe such action is necessary for security or legal reasons. Upon termination, all rights granted to you under these Terms will end. Sections of these Terms which by their nature should survive termination shall continue in effect.
14.6 Force Majeure
openledger will not be held liable for any delay or failure in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, cyberattacks, labor disputes, governmental actions, or technical failures.
14.7 Injunctive Relief
You acknowledge that your breach of these Terms may cause openledger irreparable harm, and we may seek equitable relief (such as an injunction) in addition to any legal remedies, without the need to post bond or prove damages.
14.8 Electronic Communications
By using the Services, you consent to receive communications from us electronically, including via email or through notices posted on our website. These communications satisfy any legal requirement that they be in writing.
14.9 Governing Law and Jurisdiction
These Terms are governed by the laws of the Cayman Islands, without regard to its conflict of laws principles. Any legal action or proceeding arising from these Terms shall be brought exclusively in the courts of the Cayman Islands, and you consent to the jurisdiction of such courts.
